Script & Story Inc. (“Script & Story”, “we”, “us”, “our”) maintains this website, including our chat feature, and any courses offered (the “Site”) for the use of its customers, vendors, students, and other Site users (“Users”, “you”, “your”) upon agreement to the following terms. Please read the terms carefully before using the Site. Use of this website indicates acceptance of these “Terms of Use” and forms a binding agreement between you and Script & Story. If you do not agree to these terms, do not use this Site.

1. Use of Site

You must read, agree with and accept all of the terms and conditions contained within this Terms of Use (“User Agreement”) and the Privacy Policy before you may use the Site or become a Member of Script & Story.

Customer support is available to anyone accessing the Site and is available through the Script & Story website, via email, chat feature, and/or on any third-party platforms such as but not limited to Facebook, Instagram, TikTok, Twitter, LinkedIn or any other social media platforms. Technical support is only provided to paying students and is only available via email.

Script & Story provides Site visitors with an online chat to provide customer service and answer questions to Users. By using this Service, you agree to the following terms:

Any illegal use of the Service is strictly prohibited, in the form of messages containing any racist or discriminatory content and any such usage may be considered as harassment to an individual or an organization.
You agree that all activities, which can be traced to you, are deemed as having been performed by yourself and are legally binding to you.
You accept responsibility for your message content, in accordance with generally applicable laws. Script & Story does not assume any liability for content of messages sent. You exempt Script & Story from any claim that may arise from third parties as a result of message content. You are to be held solely responsible. Script & Story reserves the right to exclude you from using this service.
You acknowledge that Script & Story delivers the Service via Wix, Zoom and LearnWorlds and can therefore only influence the delivery transmission of messages within the technical constraints imposed by the above mentioned provider.
Script & Story neither claims nor guarantees either availability or performance of this service. While Script & Story makes every effort to deliver the message promptly, Script & Story accepts no liability for transmission delays or message failures.
You use the Service entirely at your own risk.
By using the Site, you acknowledge and agree that Script & Story’s collection, usage and disclosure of this personal information is governed by our Privacy Policy.

The Site may invite you to chat, contribute to, or participate in Facebook groups, blogs, message boards, online forums, contests, Zoom calls and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site or external Sites, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions”).

Contributions may be viewable by other users of the Site and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

the creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
you are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site, and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms and Conditions.
you have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Site and these Terms and Conditions.
your Contributions are not false, inaccurate, or misleading.
your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm or violence against another.
your Contributions do not violate any applicable law, regulation, or rule.
your Contributions do not violate the privacy or publicity rights of any third party.
your Contributions do not contain any material that solicits personal information from anyone of any age or exploits people of any age in a sexual or violent manner.
your Contributions do not violate any federal, provincial, state or other law concerning child pornography, or otherwise intended to protect the health or well-being of minors;
your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, physical handicap or any group of enumerated people discriminated against.
your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.

The Site will usually be available 24 hours a day, seven days a week. We may, however, need to interrupt or suspend your access to the Site or the provision of the Site’s services and Content, for maintenance, technical or other similar reasons.

When accessing and using the Site and its services and Content, you must comply with directions, instructions or protocols posted on the Site. The Content will be updated, changed or removed from time to time, at our discretion, so we can not guarantee that specific Content will always be available on the Site.

You may not use the Script & Story service for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of Canada, and the Province of Ontario.

You understand that Course Content (not including credit card information) may be transferred, unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit Card information is always encrypted during transfer over networks.

You shall not purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use Script & Story, Script & Story Inc. or Script & Story trademarks and/or variations and misspellings thereof.

You acknowledge and agree that your use of the Service, including information transmitted to or stored by Script & Story, is governed by its Privacy Policy at https://www.scriptandstory.com/privacy.

Any use of the Site in violation of the foregoing violates these Terms of Use, Terms and Conditions and the Privacy Policy and may result in, among other things, termination or suspension of your rights to use the Site, and you may be subject to legal action.

2. Trademark and Copyright

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, the Site, Script & Story, or access to the Service without the express written permission by Script & Story. Script & Story provides various materials, information, quizzes, tests, questions, articles, news and other information on this and related sites and in courses and intensives offered through this site (“Materials”). Users may not modify Script & Story’s Materials in any way or reproduce, share or distribute them. Users will keep all Materials confidential, and will not sell, auction, loan, rent, give away, describe, summarize, or otherwise reveal the Materials or their contents, to any other person or entity.

Submissions

You represent and warrant that you have the full and exclusive right to submit your assignments (written and/or verbal), scripts and any other projects (“Submitted Documents”) to Script & Story for showcase or review.

You understand that Script & Story and its employees may have already and/or may in the future receive or independently develop materials similar to the Submitted Documents we receive. You will have no legal recourse, financial or otherwise, for the aforementioned developed materials, past, present or future.

Subject to paragraph 1 above, Script & Story will accept any obligation of confidentiality with respect to the Submitted Documents and will provide confidentiality by this agreement. Script & Story has no right to copy, use, and/or distribute the Submitted Documents for the purpose of distribution or publication of any kind.

Any feedback, comments and suggestions provided by Script & Story with regards to any Submitted Documents become your sole property. In the event you receive monetary compensation or royalties for any of your Submitted Documents, Script & Story will have no interest, gain or rights to that financial compensation.

3. Script & Story Rights

We reserve the right to modify or terminate the Service for any reason, without notice at any time.

We reserve the right to refuse any Submitted Documents, and put a stop to and/or delete any verbal or written conversations that contain disrespectful, derogatory or discriminating points of view against the LGBTQ+ community, people of colour, people with disabilities (physical, mental, etc.), women (including pregnant, impregnant or childfree), the elderly, or any group of enumerated people discriminated against. We may, but have no obligation to, remove Content provided by Users that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use and could result in a permanent lifetime ban from Script & Story, its social platforms, courses, intensives, live events and anything related to Script & Story at the discretion of Script & Story. Verbal or written abuse of any kind (including threats of abuse or retribution) of any Script & Story customer, Member, Script & Story employee, contractor, owner or officer will result in a permanent lifetime ban from Script & Story, its social platforms, courses, intensives, live events and anything relating to Script & Story at the discretion of Script & Story. Failure to comply with the discretion of Script & Story will result in an absolute permanent lifetime ban from Script & Story, its social platforms, courses, intensives, live events and anything relating to Script & Story, and no refunds for any of our courses, intensives or services will be provided. In addition to a lifetime ban, Script & Story can and will report such incidents to appropriate law authorities at its sole discretion.

4. No Warranty

The Materials provided at this site are provided “as is” without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property rights. Script & Story further does not warrant the accuracy and completeness of the Materials at this Site. Script & Story may make changes to the Materials on this Site, or to the services and prices described in them, at any time, without notice. The Materials on this Site may be out of date, and Script & Story makes no commitment to update the Materials at this Site. The price for any purchases made prior to any price changes will not be affected.

Script & Story reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice.

Script & Story shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

5. No Academic Credit

Unless otherwise explicitly indicated by a credit-granting institution, participation in or completion of courses, intensives or accessing any services therein (“Content Offerings”) does not confer any academic credit. Even if credit is awarded by one institution, there is no presumption that other institutions will accept that credit. You agree not to accept credit for completing a Content Offering unless you have earned a course certificate or other equivalent documentation of your completion of the Content Offering. Script & Story, instructors, and the associated Content Providers have no obligation to have Content Offerings recognized by any educational institution or accreditation organization.

6. Age Requirement and Content Warnings

Script & Story's courses are designed for adult learners (18+). By registering for Script & Story courses, you confirm that you are over the age of 18 at the time of registration and accept the possibility of strong language and mature subject matter throughout the Script & Story experience. This includes but is not limited to during the live courses (Zoom, any other platform and/or Learning Management System), throughout the website, and within the course materials (screenplays, homework, assignments, worksheets, external links, book recommendations).

7. Hyperlinks

Links to external websites are provided solely as a convenience to you. Script & Story does not control and is not responsible for any of these sites or their content. If you decide to access any of the external websites linked to this Site, you do so entirely at your own risk.

When using the Service, you may be exposed to Content from a variety of sources, and that Script & Story is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content. You further understand and acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Script & Story with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless Script & Story, its owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Service.

Content available through the Service often represents the opinions and judgments of an information provider, site user, or other person or entity not connected with us. We do not endorse, nor are we responsible for the accuracy or reliability of, any opinion, advice, or statement made by anyone other than an authorized Script & Story spokesperson speaking in his/her/their official capacity.

8. Privacy

Our information collection and use of any personal information about you is set out in our Privacy Policy.

Personal information that you disclose may be used by Script & Story, its agents and contractors in relation to your membership and the Site, including marketing activities for the Site.

We may disclose any personal information as necessary to satisfy any law, regulation or government request.

No Recording Policy

The Content available through the Service belongs to Script & Story and its employees, instructors, contractors and officers, and it is a violation of their intellectual property rights for you to record the audio or video available through the Service. You may not, under any circumstances, take photos, videos or screenshots, record any audio, or make virtual records by any means at any point during a live virtual Script & Story class. Photos, videos, audio recordings and screenshots may be taken by the instructor of the course, but only with advanced notice and explicit, written permission of all class participants.

You hereby agree that you will not make any such recordings, or otherwise copy, redistribute, publish or exploit material from the Service, except as expressly permitted herein, without the express prior written permission of Script & Story and the relevant Instructor.

9. Limitation of Liability

In no event will Script & Story, its suppliers, or other third parties mentioned at this Site be liable for any damages whatsoever (including, without limitation, those resulting from lower test scores, interruption of services or inaccurate information) arising out of the use, inability to use, or the results of the use of this Site, any websites linked to this Site, or the Materials or information contained at any or all such sites, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages. If your use of the Materials or information from this Site results in the need for servicing, repair or correction of equipment or data, you assume all costs thereof.

You release Script & Story, its employees, agents, contractors, and anyone acting on its behalf, of and from any and all claims or causes of action of any kind, known or unknown, arising out of or relating to any Submitted Documents. I agree that I will forgo making any claims or demands or bring any legal action against Script & Story in connection with the use or alleged use of any Submitted Documents and expressly waive any and all such claims. I acknowledge that there may be facts relating or pertinent to the Terms and Conditions that I do not know or suspect to exist and I hereby waive my right to assert any claims arising from or relating to such facts.

Your use of the Service is at your sole risk. The Service is provided on an ”as is“ and ”as available“ basis without any warranty or condition, express, implied or statutory.

Script & Story does not warrant that the Service will be uninterrupted, timely, secure, or error-free.

Script & Story does not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.

In the event of any dispute concerning these Terms and Conditions, I hereby agree that I do not possess any remedy and will not seek actual damages and in no event will I be entitled to seek injunctive or other equitable relief. Any modification or waiver of the provisions of the Terms and Conditions must be signed by both a representative of Script & Story and me.

The Website may contain third-party advertising and/or links to other sites owned by third parties (i.e. advertisers, affiliate partners, strategic partners, or others). However, the inclusion of a link in any of our Websites does not imply Script & Story’s investigation, evaluation and/or endorsement of such third party website. We are not responsible for examining or evaluating, and we do not warrant the products or offerings of, any of these businesses, entities or individuals, or the accuracy of the content of their advertising or websites. Script & Story does not assume any responsibility or liability for the actions, products, services, and/or content of any such websites. Before you purchase goods or services from a third party and/or use any third-party website, you should review the applicable terms of use and privacy policies for such websites. If you decide to access any such linked websites, you do so at your own risk.

10. Payments

Payment in full is required for official registration. Payments may be made via Wix Forms and/or Stripe with a Visa, Mastercard or American Express card. You agree to provide accurate and complete registration information. Submission of your registration, alongside full payment of the Fee constitute your acceptance of these Terms of Use, and the Terms and Conditions specifically tailored to the course(s) you are registering for.

Unless otherwise stated, all Fees are in U.S. Dollars regardless of where you reside. We retain the right to charge HST and/or GST when applicable and necessary.

Money Back Guarantee

Script & Story does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be fully corrected. If you are dissatisfied with Script & Story’s courses or intensives, you can contact Script & Story via email or the contact form within 3 (three) days following the first day of an intensive that you have registered for, or from the first day you have purchased an Open course(s) (learn at your own pace via an LMS). You must provide the details of your complaint. Script & Story will evaluate the complaint and attempt to remedy the situation. If you are still dissatisfied after Script & Story’s attempt to remedy the situation, Script & Story will provide a full refund to you which will be processed within 5 business days via the original payment method.

The Money Back Guarantee only applies to courses and intensives, both Open and Timed. It does not apply to script coverage, proofreading services, or any other services provided.

Other Vendors and Affiliates

All Users acknowledge that through their use of the Site, they may have the opportunities to engage in commercial transactions with other users and vendors. Each User acknowledges that all transactions relating to any merchandise or services offered by any party, including, but not limited to the purchase terms, payment terms, warranties, guarantees, maintenance and delivery terms relating to such transactions, are agreed to solely between the seller or purchaser of such merchandise and services and you. We make no warranty regarding any transactions executed through, or in connection with this Site, and you understand and agree that such transactions are conducted entirely at your own risk. Any warranty that is provided in connection with any products, services, materials, or information available on or through this Site from a third party is provided solely by such third party, and not by us or any other of our affiliates.

12. Feedback and Testimonials

We welcome your suggestions, ideas, comments, testimonials and other feedback regarding the Services ("Feedback"). By submitting any Feedback, and photo(s), and/or a personal link(s) to include with any Feedback, you grant us the right to use the Feedback, photo and link without any restriction or any compensation to you. By accepting your Feedback, Script & Story does not waive any rights to use similar or related Feedback previously known to Script & Story, developed by our employees, contractors, or obtained from other sources.

13. Applicable Law

Script & Story is operated within the Province of Ontario, Canada. By accessing or using Script & Story, the Participant agrees that all matters relating to your access to or use of Script & Story and its content shall be governed by the laws of the Province of Ontario, and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The Participant agrees and hereby submits and attorns to the exclusive jurisdiction of the courts of the Province of Ontario, with respect to all matters relating to their access to and use of Script & Story and all the courses, intensives and services therein.

Any breach of these Terms of Use automatically terminates your authorized use of the Site, and you may be subject to legal action.

14. Effective Date and Updates

The Terms are effective as of March 1, 2021 and are subject to change without notice by Script & Story at any time. Please check for changes regularly. Your use of this Site after such changes constitutes your agreement to such changes.
